A TO-I (or Tender Offer - Issuer) statement is similar to both a 13-D and a 14D-9 form and is usually filed in conjunction with at least one of those. It is one that must be filed with the SEC by any entity which makes a tender offer for any company (i.e. to buy a majority stake or all outstanding shares). In order for the sale to be attractive, any tender offer is usually made at a premium to the current share price.
